1. Purpose
These terms govern the use of the SaaS service GMB Manager (gmbmanager.ai), published by MAKEMERANK LIMITED, a company incorporated in Ireland (registration number 686482), C/O Pod 2, The Old Station House, 15a Main Street, Blackrock, Dublin, A94T8P8, Ireland. The service is reserved for clients of the Makemerank agency and their teams; accounts are opened as part of the commercial relationship with the agency. Using the service means accepting these terms.
2. Account and access
Login credentials are personal and confidential. Users are responsible for the actions carried out from their account and undertake to inform MAKEMERANK LIMITED without delay of any unauthorised use. An account holder may invite members of their team and assign roles to them; they remain responsible for the access they grant.
3. Description of the service
GMB Manager brings the management of Google Business Profile listings and of online reputation together in one place. Its features fall into two categories, depending on whether or not they rely on the Google Business Profile APIs.
3.1. Features relying on the Google Business Profile APIs
These features require the user's Google account to be connected (OAuth 2.0 authorisation) and apply only to the profiles they own or manage:
• multi-location management, in particular for an agency running the profiles of several clients, with a check that the connected Google account really does manage the profiles concerned;
• editing business profiles from a single interface (hours, contact details, description, attributes, photos), available soon;
• replying to reviews from that same interface, instead of going through Google profile by profile, available soon;
• performance metrics and search keywords of the profiles, available soon.
The actual availability of the features marked "available soon" depends on the API access granted by Google; users will be informed inside the service as soon as they are switched on.
3.2. Features independent of the Google APIs
These features do not rely on the Google Business Profile APIs; their data sources are set out below:
• reading the Google reviews of the user's profiles in their dashboard, from public reviews collected through a specialist provider (DataForSEO);
• collecting Google reviews through email and text message invitations and a QR code at the point of sale, from the customer data imported by the user, with their customers' consent;
• review display widgets on the user's website, from the public reviews of their profile;
• local rank tracking (visibility map per keyword) and competitor review monitoring, from public local search data collected through a specialist provider (DataForSEO).
Compliance of review collection: invitations to leave a review are sent to all of the location's customers, with no prior filtering based on expected satisfaction (no "review gating"). Their wording is neutral, with no compensation or incentive, and with no named staff member, in line with Google's policies on reviews.
The service relies on third-party sources and services (in particular Google and search data providers). MAKEMERANK LIMITED does not guarantee the accuracy, the completeness or the availability of data coming from those third parties, and cannot be held liable for a change to, or an interruption of, their APIs.
4. Subscriptions and credits
Access to the service is provided according to the plan taken out with the agency. Certain actions (sending invitations, rank tracking reports) consume credits, either included in the plan or purchased in packs. Credits can only be used within the service, and are non-transferable and non-refundable. Payments are processed by Stripe; no banking data is stored by the service.
5. User obligations
Users undertake to:
• obtain the consent of their own customers before sending them an invitation to leave a review, and to import only data they are entitled to process (in accordance with the GDPR);
• not solicit or publish fake reviews, not filter invitation recipients based on expected satisfaction, not offer anything in exchange for a review, and not use the service in any way that breaches Google's policies on reviews;
• only connect Google accounts whose profiles they legitimately manage;
• not attempt to disrupt the operation of the service, to access it without authorisation or to use it for unlawful purposes.
In the event of a serious breach, MAKEMERANK LIMITED may suspend or close the account after notice.
6. Availability and liability
The service is provided "as is". MAKEMERANK LIMITED endeavours to keep it continuously available but does not guarantee the absence of interruptions (maintenance, incident, third-party dependency). The liability of MAKEMERANK LIMITED, on all grounds combined, is limited to the amounts actually paid by the client for the service over the last twelve (12) months. It does not cover indirect damage (loss of revenue, of reputation or of third-party data).
7. Intellectual property
The service, its interface and its code remain the exclusive property of MAKEMERANK LIMITED. Users are granted a personal, non-exclusive and non-transferable right of use for the duration of their subscription. Any reproduction, resale or reverse engineering is prohibited. Data imported by users remains their property. Google, Google Maps and Google Business Profile are trademarks of Google LLC; GMB Manager is an independent service, not affiliated with Google.
8. Termination
Either party may end the service under the conditions set out in the commercial contract entered into with the agency. When the account is closed, users may request an export of their data; it is then deleted under the conditions described in the privacy policy.
9. Governing law
These terms are governed by Irish law. In the event of a dispute, the parties will first seek an amicable solution; failing that, the courts of Dublin will have jurisdiction, subject to any mandatory protective provisions applicable to the client.
